Terms of Service

Bukadu Ltd

Effective date: 2 June 2026 · Last updated: 14 June 2026

1. About these terms

These terms form the agreement between you and us when you use Bukadu.

  • “We”, “us”, “our” means Bukadu Ltd, a company registered in England and Wales (company number 17149819) with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. Our trading name is Bukadu.
  • “You” means the business that subscribes to the Service, and any of your employees, contractors, or representatives who use the Service on your behalf.
  • “The Service” means the Bukadu web application available at bukadu.com (and any subdomains we operate), and the email alerts and other features we deliver as part of it.
  • “Customer Data” means the information you submit to the Service, including your account details, profile information, saved searches, and saved notices.
  • “Fees” means the amounts payable for your Subscription.
  • “Subscription” means your paid access to the Service for a billing period.
  • “Agreement” means these terms together with our Privacy Policy and any order form we agree with you in writing.
  • “Business day” means a day other than a Saturday, Sunday, or public holiday in England and Wales.

By creating an account or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

2. Eligibility — businesses only

The Service is for businesses. It is not designed for or offered to consumers.

By creating an account, you confirm that:

  • You are using the Service in the course of a trade, business, craft, or profession;
  • You have authority to enter into this Agreement on behalf of the organisation you represent;
  • You are at least 18 years old; and
  • You will not use the Service for personal, family, or household purposes.

If we reasonably believe you are using the Service as a consumer, we may suspend or terminate your account.

3. The Service

What we provide

The Service aggregates public procurement tender notices from the UK’s Find a Tender Service (FTS) and the EU’s Tenders Electronic Daily (TED), and gives you:

  • Search across the aggregated notices;
  • Saved searches with email alerts;
  • Saved notices (“favourites”);
  • Profile-based search refinement; and
  • Usage information for your own activity.

We may add, remove, or change sources and features over time. We will give you reasonable notice of significant changes in line with section 16.

What we do not provide

We want to be clear about what the Service is not:

  • We do not provide bid-writing, proposal-drafting, or any other tendering services.
  • We do not provide legal, commercial, or strategic advice on how to respond to any tender.
  • We do not guarantee that notices are real-time. Notices are ingested daily and may lag the underlying source by up to 24 to 48 hours.
  • We do not guarantee that the aggregated corpus is complete beyond the sources named above.
  • We do not guarantee any outcome of your use of the Service, including whether you win, qualify for, or are shortlisted for any tender.

Source data

Tender notices are public information. We do not own them. Your use of notice data through the Service is governed by this Agreement and by any licence terms imposed by the upstream source (for example FTS or TED licensing).

4. Accounts and access

You must create an account to use the Service. You agree to:

  • Provide accurate and current information when you register;
  • Keep your login credentials secure and not share them;
  • Use the Service only through individual user accounts (one user per account) within your organisation;
  • Be responsible for everything done under your account, including by anyone you allow to access it; and
  • Tell us promptly at [email protected] if you suspect any unauthorised use of your account.

We may refuse, suspend, or terminate any account if we reasonably believe these terms have been breached.

5. Subscription, trial, fees, and payment

Bukadu is offered on a 30-day free trial, after which it is a paid subscription. You can start your trial without giving us any payment details. To keep using the Service after your trial, you subscribe to a paid plan, and we take payment through our payment processor, Stripe. The pricing, billing, failed-payment, and invoice terms in this section describe how paid subscriptions work.

Pricing

Our current pricing is set out on the Service. Fees are stated in pounds (GBP) and are exclusive of VAT. If we become VAT-registered, VAT will be added to fees at the prevailing rate.

Free trial

We currently offer a free trial of 30 days for new subscribers. During the trial you have access to the Service at no charge.

  • Your trial begins when you create your account and gives you full access for 30 days. We do not ask for a card to start the trial.
  • We may extend, vary, or end trial terms for specific cohorts (for example, beta cohorts). Any cohort-specific terms will be communicated to you in writing.
  • At the end of your trial, you choose a paid plan and pay through Stripe to continue. We do not charge you automatically — if you do nothing, your account is not charged.
  • You can stop using the Service at any time during the trial at no charge. Because the trial does not take a card, there is nothing to cancel.

If your trial ends and you have not subscribed to a paid plan, your account will move to a restricted (read-only) state. You will not be able to run new searches, save notices, or receive alerts, but you will be able to log in to subscribe. You may reactivate your account by subscribing within 30 days of your trial ending, and during that period you may request an export of your Customer Data as described in section 14. After that 30-day period, we may delete your account and Customer Data in line with our Privacy Policy.

Billing

Once you subscribe:

  • Subscriptions are billed monthly in advance through our payment processor, Stripe.
  • Your Subscription renews automatically each month for the same Subscription period, at the then-current price for new sign-ups, until you cancel.
  • We may change pricing for new sign-ups at any time. If we change the price applicable to your renewal, we will give you at least 30 days’ notice before the change takes effect. You may cancel before the change takes effect if you do not accept it.

Failed payments

If a payment fails, we will retry the charge using Stripe’s standard retry schedule, generally within 14 days. If payment still fails, we may suspend your access. Access is restored when your account is brought up to date.

Cancellation and refunds

You can cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current paid period; you continue to have access until then.

Fees are non-refundable, including for partial periods after cancellation, except where a refund is required by law.

Invoices

Invoices and payment receipts for your subscription are issued by Stripe and sent to your account email address.

6. Acceptable use

You agree to use the Service only for lawful business purposes and in accordance with this Agreement. In particular, you must not:

  • Use the Service to scrape, mirror, replicate, or build a competing product or dataset;
  • Use automated means to access the Service, except through any application programming interfaces we may publish for that purpose;
  • Reverse engineer, decompile, or attempt to extract our software, search and matching technology, indexes, or other underlying components;
  • Share your login credentials with anyone, or allow anyone outside your organisation to use your account;
  • Exceed any rate limits or other usage restrictions we apply (these are described in the Service);
  • Use the Service in any way that is unlawful, fraudulent, deceptive, or that infringes the rights of others;
  • Upload or transmit malware, harmful code, or anything that disrupts the Service or other users;
  • Use the Service for any consumer purpose; or
  • Misrepresent your identity or affiliation.

We may suspend or terminate your account for breach of this section in line with sections 14 and 15.

7. Intellectual property

Our rights

We (or our licensors) own all rights in the Service, including the website, the software, the user interface, the brand, the data we aggregate and derive from public tender sources, our search indexes, and the underlying search and matching technology we develop. We reserve all rights not expressly granted to you in this Agreement.

Your rights in Customer Data

You retain all rights in Customer Data. By using the Service, you grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, and display Customer Data. This licence is limited to what is necessary to provide, maintain, and improve the Service and to comply with our legal obligations under English law.

Our licence to you

While your Subscription is in force and you comply with this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Service for your internal business purposes.

Using data to improve the Service

We use information about how you use the Service — including your searches, the results you interact with, and the notices you save — to operate, maintain, and improve it. Some of this information is personal data; we process it on the basis of our legitimate interests, as explained in our Privacy Policy. We may also create aggregated or anonymised data that does not identify you or any individual, and use it for any purpose. We do not sell Customer Data to third parties.

Feedback

If you give us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use it for any purpose, without obligation to you.

8. Confidentiality

Each of us may receive information from the other that is confidential. “Confidential Information” means information disclosed by one party to the other that is identified as confidential or that a reasonable person would understand to be confidential.

Our Confidential Information includes our pricing, product roadmap, and security details. Your Confidential Information includes Customer Data and your account details.

Each of us agrees to:

  • Use the other’s Confidential Information only to perform this Agreement;
  • Protect it with at least the same care as our own confidential information of like kind, and not less than reasonable care; and
  • Not disclose it to anyone except employees, contractors, or advisers who need to know it and who are bound by confidentiality obligations.

These obligations do not apply to information that:

  • is or becomes publicly known through no fault of the receiving party;
  • the receiving party independently develops without reference to the disclosing party’s information;
  • the receiving party lawfully receives from a third party without restriction; or
  • must be disclosed by law or court order.

These obligations apply during the term of the Agreement and for 3 years after it ends.

9. Data protection

We process personal data in connection with the Service. Our Privacy Policy explains what we collect, how we use it, the lawful bases we rely on, and your rights. It is part of this Agreement.

Under this Agreement, we act as a controller of the personal data we process for our own purposes, such as account and billing data. If you have specific data protection contracting requirements, contact us at [email protected] to discuss.

You are responsible for any personal data you submit to the Service (for example, in your profile or saved searches), including for having a lawful basis to do so.

10. Service availability

We will use commercially reasonable efforts to keep the Service available. However:

  • We do not offer a service level agreement or uptime guarantee in these terms.
  • The Service is provided “as is” and “as available”.
  • We may perform maintenance, updates, and changes to the Service. Where practicable we will give you reasonable notice before planned maintenance.

We are not responsible for downtime, performance issues, or data delivery failures caused by your network, your devices, your service providers, our upstream sources (such as FTS or TED), or other matters outside our reasonable control.

11. Warranties and disclaimers

We warrant that we will provide the Service with reasonable care and skill, and substantially in accordance with the description on the Service.

Other than that, and to the maximum extent permitted by law, we exclude all warranties, conditions, representations, and other terms that might otherwise apply to the Service, whether implied, statutory, or otherwise. In particular, we do not warrant that:

  • The Service will meet your specific requirements;
  • The Service will be uninterrupted, timely, secure, or error-free;
  • The information accessible through the Service is accurate, complete, current, or reliable; or
  • Any defects in the Service will be corrected.

You are responsible for deciding whether the Service is suitable for your purposes and for any decisions you make based on the Service.

12. Limitation of liability

This section is important. Please read it carefully.

What this section does

This section sets out the limits of our liability to you under this Agreement. It applies whatever the legal basis for a claim. That includes breach of contract, negligence, breach of statutory duty, misrepresentation, and any other legal grounds.

Losses we are not liable for

To the maximum extent permitted by law, we are not liable to you for any:

  • Indirect, consequential, special, incidental, or punitive losses;
  • Loss of profits, revenue, or anticipated savings;
  • Loss of business, goodwill, opportunity, or reputation; or
  • Wasted management or staff time.

These exclusions apply even if we knew, or should have known, that the loss was possible.

Aggregate cap on liability

Subject to the carve-outs below, our total aggregate liability to you under or in connection with this Agreement is limited to the greater of:

  • (a) the total Fees you paid us in the 12 months immediately before the event giving rise to the claim; and
  • (b) £1,000.

What this section does not limit

Nothing in this Agreement limits or excludes our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation by us;
  • Any liability under data protection law, to the extent it cannot lawfully be limited or excluded; or
  • Any other liability that cannot lawfully be limited or excluded.

Why these limits are reasonable

You and we agree that these limits are reasonable given that:

  • We are both businesses entering into a commercial agreement as commercial equals;
  • The Fees we charge are modest relative to the value of the wider tendering opportunities you may pursue;
  • You are better placed than we are to insure against, or otherwise manage, business losses arising from your tendering activity; and
  • You can cancel your Subscription at any time if you are not satisfied with the Service.

13. Indemnity

You will indemnify us, and our officers, employees, and agents, against all losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of section 6 (Acceptable use);
  • Your breach of any law in your use of the Service;
  • Customer Data you submit to the Service, where it infringes the rights of any third party or breaches any law; or
  • Any third-party claim arising from your use of the Service outside the permitted scope of this Agreement.

If we make a claim under this indemnity, we will:

  • give you prompt notice of the claim;
  • cooperate reasonably in the defence, at your expense; and
  • let you control the defence and settlement.

You must not agree to any settlement that admits liability on our part without our written consent.

Cap on this indemnity

Your aggregate liability under this indemnity is limited to the same monetary amount as the cap on our liability in section 12 — that is, the greater of the Fees you paid us in the 12 months before the claim, or £1,000. This limit does not apply if you act fraudulently or engage in wilful misconduct.

We do not give a general indemnity in your favour under these terms. If you require an intellectual property or other indemnity from us, contact us at [email protected].

14. Term and termination

Term

This Agreement starts when you create an account and continues until terminated as set out below.

Termination by you

You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current paid period.

Termination by us for cause

We may terminate this Agreement and your access to the Service with immediate effect, by notice to you, if:

  • You materially breach this Agreement and do not remedy the breach within 14 days of our notice (where the breach is capable of remedy);
  • You fail to pay Fees and the failure continues for more than 30 days;
  • You commit a serious breach that by its nature cannot be cured, including fraud, unlawful use, attempted reverse engineering, or wilful infringement of intellectual property;
  • You become insolvent, enter administration, or have a receiver or liquidator appointed; or
  • Any law or regulator requires us to do so.

Termination by us for convenience

We may terminate this Agreement for any reason on 30 days’ written notice to you. If we do so, we will refund any Fees you have paid in advance for the period after the termination date.

Effect of termination

When this Agreement ends:

  • Your right to access the Service ends.
  • You must pay any Fees outstanding at the date of termination.
  • Data export. For 30 days after termination (or after your trial lapses under section 5), you may request a one-time export of your Customer Data by emailing [email protected]. We will provide the export in a structured, commonly used, machine-readable format within a reasonable time.
  • Data deletion. We will delete or anonymise Customer Data within 30 days after the export window closes, in line with our Privacy Policy retention schedule. Some data may be kept for longer where the law requires it — for example, payment and tax records — as set out in our Privacy Policy. If you ask us to erase your personal data under data protection law (UK GDPR Article 17), contact us at [email protected] and we will deal with your request within the statutory one-month window.
  • The following sections will continue to apply after this Agreement ends, to the extent necessary to give effect to them:
    • Section 7 (Intellectual property)
    • Section 8 (Confidentiality)
    • Section 9 (Data protection)
    • Section 11 (Warranties and disclaimers)
    • Section 12 (Limitation of liability)
    • Section 13 (Indemnity)
    • Section 17 (Notices)
    • Section 19 (Entire agreement)
    • Section 20 (Other contract terms)
    • Section 21 (Governing law and jurisdiction)
    • Section 22 (Contact)

15. Suspension

We may suspend your access to the Service, in whole or in part, if:

  • You fail to pay Fees when due;
  • We reasonably believe you are in breach of section 6 (Acceptable use);
  • We reasonably believe your account has been compromised or poses a security risk; or
  • We are required to do so by law or a regulator.

We will give you reasonable notice before suspending the Service where practicable. Where the reason for suspension is urgent (for example, a security risk), we may suspend first and notify you afterwards. We will restore access as soon as the reason for suspension has been resolved.

16. Changes to the Service and these terms

Changes to the Service

We may add to, remove from, or change the Service from time to time. We will give you reasonable notice of significant changes that materially reduce the functionality you rely on.

Changes to these terms

We may amend these terms from time to time. The current version will always be available on bukadu.com.

  • For material changes (for example, changes to the Fees, the liability section, or your data rights), we will give you at least 30 days’ notice by email to the address on your account and on the Service.
  • For non-material changes (for example, clarifications, formatting, or correction of errors), we may make the change at any time.

If you object to a material change, you may terminate this Agreement before the change takes effect, and we will refund any Fees you have paid in advance for the period after termination. If you continue to use the Service after the notice period, you accept the change.

17. Notices

Notices under this Agreement must be in writing and given by email.

  • Notices to us should be sent to [email protected].
  • Notices to you will be sent to the email address on your account.
  • A notice is deemed received at 9am UK time on the next business day after it is sent. If the sender receives an automated delivery-failure response, the notice does not take effect until the sender successfully resends it.

You are responsible for keeping your account email address up to date.

18. Force majeure

Neither of us is liable for any failure or delay in performing this Agreement (other than your obligation to pay Fees) caused by events beyond our reasonable control, including:

  • Natural disasters, fires, floods, or extreme weather;
  • War, terrorism, civil unrest, or government action;
  • Strikes, labour disputes, or industrial action (other than involving our own employees);
  • Failures or interruptions of internet, telecommunications, or third-party hosting services we rely on;
  • Cyber attacks, denial-of-service incidents, or malicious third-party intrusions; or
  • Pandemics or public health emergencies.

The affected party must notify the other promptly and use reasonable efforts to mitigate the impact. If the event continues for more than 60 days, either of us may terminate this Agreement on written notice, without liability.

19. Entire agreement

This Agreement (these terms, our Privacy Policy, and any order form we agree with you in writing) is the entire agreement between you and us about the Service. It replaces any prior agreements, representations, or understandings between us about the Service.

In entering into this Agreement, you have not relied on any statement, representation, warranty, or assurance that is not set out in this Agreement — whether made innocently or negligently.

Nothing in this clause excludes or limits liability for fraudulent misrepresentation.

20. Other contract terms

Assignment

You may not assign, transfer, or sub-licence your rights or obligations under this Agreement without our prior written consent. We may assign, transfer, or sub-licence our rights and obligations under this Agreement, including to a successor in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our business.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision will be severed and the rest of the Agreement will continue in force.

No waiver

A failure or delay by either of us to enforce any right under this Agreement is not a waiver of that right. Any waiver must be in writing.

No third-party rights

A person who is not a party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Relationship

Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and us. Neither of us has authority to bind the other.

21. Governing law and jurisdiction

This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, is governed by and construed in accordance with the laws of England and Wales.

You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. You agree not to bring proceedings in any other jurisdiction, subject to any mandatory law in your own location that prevents you from doing so.
